1. Acceptance of Terms
By accessing or using FirmVerify ('the Service'), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including businesses, applicants, and reference verifiers.
2. Description of Service
FirmVerify(RedData LLC) provides an automated credit onboarding platform that facilitates the collection and verification of business information, bank references, and trade references. The Service generates consent PDFs, sends verification emails, and tracks the status of verifications.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately of any unauthorized use of your account. You must be at least 18 years old to use the Service.
4. Subscriptions and Billing
Monthly subscriptions are billed $100/month and include 20 submissions per billing cycle. Pay-as-you-go plans are billed $10 per application submission. All payments are processed through Stripe on behalf of RedData LLC, the company that owns and operates FirmVerify; charges on your card or bank statement will appear from RedData LLC. If automatic payment fails, we may suspend access to the Service until payment is made. Prices are subject to change with 30 days' notice.
5. User Obligations
You agree to: use the Service only for lawful purposes and in accordance with these terms; ensure that all information submitted through the Service is accurate and that you have obtained necessary consent from individuals whose data you submit (including applicants and reference contacts); not attempt to circumvent usage limits, security measures, or access restrictions; and not use the Service to transmit malware or engage in any activity that could harm the platform.
6. Applicant and Reference Data
You represent that you have obtained all necessary consents from applicants and references to submit their information through the Service and to send verification requests on your behalf. Reference verification emails include unique tokens that grant access only to the specific reference's verification page.
7. Limitation of Liability
To the maximum extent permitted by law, FirmVerify(RedData LLC) shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability for any claim arising from the Service shall not exceed the amount you have paid us in the 12 months preceding the claim.
8. Disclaimer of Warranties
The Service is provided 'as is' and 'as available' without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free. Verification results are provided as information only and do not constitute financial or legal advice.
9. Termination
Either party may terminate your account at any time for any reason. Upon termination, your access to the Service will be revoked. We may retain your data as required by law or for legitimate business purposes. You may request deletion of your data by contacting us.
10. Governing Law
These terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of San Francisco County, California.
11. Changes to Terms
We may modify these terms at any time. Material changes will be notified via email or through the platform. Continued use of the Service after changes constitutes acceptance of the new terms.
